Terms of Service— Gaobaltech OÜ
1. Overview
Gaobaltech OÜ provides software development,
technology consulting,
digital solution design,
and evolutionary maintenance services, always in accordance with the proposals or agreements signed with each client.
These Terms establish the general framework for collaboration.
2. Scope and Work Method
- Cada proyecto se desarrolla a partir de un alcance definido por escrito (propuesta, contrato o anexo).
- Deliverables, deadlines, and conditions are defined exclusively in those documents.
- Any modification to the scope is reviewed, estimated, and approved before implementation.
3. Infrastructure, Hosting, and Licenses
To ensure clarity:
- Gaobaltech does not provide hosting or server administration.
- Gaobaltech deploys only to client‑provided and pre‑configured environments, unless agreed otherwise.
- Gaobaltech does not purchase third‑party licenses on behalf of the client.
- The client is responsible for:
- hosting, servers, domains, databases, certificates, cloud services;
- ensuring that their infrastructure is secure and accessible.
- provide the necessary access for deployments and testing.
Gaobaltech deploys only to environments provided and configured by the client, unless otherwise agreed.
4. Deliverables and Intellectual Property
- The code and deliverables developed specifically for the project will become the client’s property once all corresponding invoices have been paid in full, in accordance with the signed agreements.
- Gaobaltech retains ownership of its internal technology, libraries, templates, and work tools, which may be used in other projects.
- Third‑party elements integrated into the project (APIs, libraries, services) will be subject to their own licenses.
5. Client Responsibilities
The client agrees to:
- provide the information, access, and feedback required to execute the project;
- keep their infrastructure operational and secure;
- review and approve deliverables within reasonable timeframes;
- comply with all payment terms established in the proposal or contract.
Delays in these obligations may affect project timelines.
6. Payments and Billing
- Payment conditions are detailed in each proposal or contract.
- Late or missing payments may result in a temporary suspension of services or development.
- Additional work not included in the original scope is estimated and billed separately.
7. Support and Maintenance
- Technical support and maintenance are not included unless a specific plan is contracted.
- Issues caused by hosting, infrastructure, third‑party services, or external changes will be evaluated and billed as separate work.
8. Limitation of Liability
Gaobaltech acts professionally and diligently, but cannot be liable for:
- outages or failures in the client’s hosting or infrastructure,
- third‑party service interruptions,
- modifications made by third parties,
- misuse of the delivered software.
Any specific liability limits are defined in the signed contract.
9. Confidentiality
All project‑related information exchanged between Gaobaltech and the client is confidential.
Likewise, the client agrees not to disclose Gaobaltech’s internal tools, methods, or documents.
10. Data Protection (GDPR)
- Gaobaltech complies with applicable data protection laws.
- If a project requires Gaobaltech to process personal data on the client's behalf, a Data Processing Agreement (DPA) will be signed.
- Gaobaltech will only process data strictly necessary for the service.
11. Relationship with Signed Contracts
If a specific contract is signed between Gaobaltech and the client, that contract takes precedence over these general Terms in any conflicting or more detailed aspect. These Terms act as the overall working framework.
12. Governing Law
Gaobaltech operates under the laws of Estonia. Any project‑specific contract may detail the applicable dispute resolution process.
